We acted for a distributor of high value retail clothing. We put in place a European Distribution Agreement to take account of the rights of commercial agents whilst trying to give our client maximum flexibility in dealing with its distributors and agents and ensuring the value of its marketing proposition is maintained.
We acted for a charity that was supplying under a government contract. That contract ran to some 108 pages and they required a "high level” review to identify areas of risk. They always appreciated that the contract was "not negotiable” but needed to understand any associated risks to their charity. We were able to give them chapter and verse so they went into the contract fully aware of the consequences.
Our client had developed a unique health and beauty product. Manufacturing was to be carried out by a third party and our client needed to protect itself against that manufacturer itself going into competition and using our client's knowledge or producing for a competitor. We needed to go through with our client the commercial realities of what is possible and the extent to which legal contracts could protect against unfair competition, and we advised our client on suitable protection that should be put in place.
