We advised a company providing communications solutions to the oil and gas industry throughout the Middle East, Asia and Russia. The company was looking to raise funds by issuing further shares to both existing shareholders and external private individuals. We advised on the process of issuing the further shares as well as negotiating a Shareholders Agreement, new Articles of Association and Loan Agreements with a view to securing the investment required and putting in place the structure for the company and its shareholders to move forward to attain the goals of the various interested parties.
We helped a young but thriving company who had been approached by a private equity investor offering the company a substantial investment. We were involved in negotiating the investment documentation including a Shareholders Agreement, Service Contracts and new Articles of Association all of which were designed to protect the interests of the client as well as offer the investor the ability to provide valuable input where required to ensure the company realised its potential.
