We were approached by a client looking to set up a business in the health and safety sector. The client had developed a unique piece of software and had been in negotiations with various customers as regards taking it further. The client wanted advice on the option available for the structure of this new business and the legal formalities involved. At an initial free of charge meeting, we talked through the client's background, his business plans and his key concerns. We then worked with the client to set up a new company, to draft a Shareholders Agreement between the various founders, advise on bespoke sets of terms and conditions for specific parts of the business, and to draft the commercial agreements between the new company and its customers and suppliers.
