We helped a client with a successful property management company who was looking to formalise the involvement of and protect the interests of its majority and minority shareholders. We listened the client to find out exactly what was important to each of the parties involved and worked closely with them to produce a Shareholders Agreement which was fair, reflected the wishes of the client and was appropriate for the size and type of the company.
We were approached by a company which was looking to identify the contributions made by its various shareholders and to find a way of rewarding those shareholders accordingly. We talked through the options available and worked with the client to produce a new set of Articles of Association which reflected the contributions of the shareholders and the rewards that were to be forthcoming. This involved advising on the creation of different classes of shares and on the rights attaching to those classes.
